Zenlayer Credit Limit Policy
1. Definitions
1.1 Credit Limit: The maximum service fee amount that you can settle according to this policy after ordering or using Zenlayer products or services. The credit limit will be combined with your account balance as your available purchasing power.
1.2 Invoiced Billing Account: Refers to the team or account you registered and created on console.zenlayer.com, which was reviewed and approved by Zenlayer and granted a credit limit, hereinafter referred to as the "Invoiced Billing Account".
1.3 Billing Term: The period of time you have to pay the full amount of an issued invoice after using the credit limit to settle service fees.
2. Application and Approval of Invoiced Billing Account
2.1 Zenlayer will grant you a credit limit for the invoiced billing account you apply for.
2.2 When applying for an invoiced billing account, you should submit the application materials to Zenlayer as required. You confirm that the application materials and related statements you submit are correct, complete, true and valid. You agree that Zenlayer has the right to retain your application materials.
2.3 Based on the application materials you submit, historical consumption levels, payment status and expected consumption growth and other factors, Zenlayer has the right to decide whether to grant a credit limit and the specific amount.
3. Reconciliation and Payment
3.1 Currency: USD
3.2 Invoice: Each calendar month is a complete billing cycle. Zenlayer will issue a complete invoice for the credit limit you used during this billing cycle. The billing data is subject to Zenlayer's system records. You can check the specific invoice data through the Zenlayer console.
3.3 Payment: You need to pay the full amount of the invoice issued for the current period within the billing term, which can be found in your Zenlayer console’s Billing Overview.
3.4 Payment Deadline (1) Each time you use the credit limit to settle a service fee, the settled service fee will be deemed as a payable amount. Your purchasing power = balance + credit limit - payable amount (if any). When your team's purchasing power < 0, Zenlayer will restrict normal service operation (e.g. bandwidth throttling, etc.) within 24 hours, which is considered the final payment deadline. (2) If you fail to pay and settle by the final payment deadline, all unsettled services will enter the service suspension process.
3.5 Late Payment If you fail to pay beyond the payment deadline, regardless of whether there is still available credit limit, we will charge you interest at a rate of 1.5% per month (or no less than the highest rate allowed by law). At the same time, Zenlayer has the right to take one or more of the following measures: 1) Lower or cancel your credit limit; 2) Deduct service fees from the account or deposit (if any) attributed to you; 3) Suspend or terminate all or part of the services.
4. Validity Period of Credit Limit
The credit limit and billing term will take effect from the date when Zenlayer agrees to grant or adjust your credit limit and completes the online configuration. The expiration date will be subject to Article 7 below.
5. Scope of Using Credit Limit
You understand and confirm that not all products and services provided by Zenlayer can be settled using the credit limit. The credit limit can only be used to pay for the products and services explicitly specified by Zenlayer.
6. Other Rules for Using Credit Limit
6.1 Your payment will be used to settle your account payable and restore your credit limit.
6.2 Your purchasing power will change dynamically based on your credit limit usage and settlement situation.
7. Adjustment and Expiration of Credit Limit
Your credit limit may be adjusted or canceled under the following circumstances:
7.1 If any of the following risk factors occur: late payment, changes in financial or credit status, inability to settle invoices, invalid contact information, abnormal service usage, etc., or if Zenlayer independently deems any other situations unsuitable for granting a credit limit, Zenlayer has the right to adjust or cancel your credit limit. Zenlayer will notify you by email on the day of adjustment or cancellation.
7.2 Due to major operational strategy adjustments or changes in market conditions, Zenlayer has the right to adjust or cancel the credit limit. Zenlayer will notify you by email on the day of adjustment or cancellation.
7.3 If Zenlayer adjusts the credit limit, Zenlayer will notify you by email.
